1. About inventry.ca

inventry.ca ("the Platform", "we", "us") is an online marketplace that allows verified Canadian pharmacies ("Members") to publish listings, requests, and offers for pharmaceutical inventory, equipment, and pharmacy businesses. By creating an account or using the Platform in any way, you accept these Terms.

2. Facilitator role — not a party to transactions

inventry.ca is a technology facilitator only. We are not a pharmacy, wholesaler, distributor, importer, manufacturer, agent, broker, courier, payment processor, or party to any transaction between Members. Every transaction is a direct agreement between the buying pharmacy and the selling pharmacy. We do not take title to, inspect, store, package, transport, or vouch for any product listed.

The Platform is currently free to use — no subscription, no listing fees, and no transaction commissions. Platform-mediated payment and shipping are not currently active: pharmacies match through the portal and arrange payment, invoicing, and shipping directly between themselves. Optional Platform Payments and Shipping are planned for a future release; when introduced, they will be opt-in per transaction and any platform fees will be disclosed upfront. Until then, inventry.ca does not collect, hold, escrow, route, refund, or process funds, and does not arrange or guarantee carriage of any product.

3. Member responsibilities

Each Member is solely responsible for:

  • The accuracy of every listing (DIN, brand, generic, strength, dosage form, quantity, lot number, expiry date, storage condition, and price).
  • Verifying that any sale, transfer, return, or exchange complies with their provincial College of Pharmacists, Health Canada, and all applicable federal and provincial laws.
  • Confirming the receiving pharmacy is properly licensed before shipping any product.
  • Maintaining the cold chain, packaging, documentation, and chain of custody required for each product.
  • Inspecting incoming product on receipt and refusing or reporting any product that does not match the listing.
  • Resolving any quality, expiry, recall, refund, or shipping dispute directly with the other pharmacy.

4. Controlled substances — listings prohibited; emergency requests facilitated off-platform

Substances regulated under the Controlled Drugs and Substances Act — including narcotics, controlled drugs, targeted substances, and benzodiazepines — may not be listed for sale through the Platform. Verified pharmacies may post an inventory request for these substances under Emergency Supply; in that case inventry.ca acts as a facilitator only to connect pharmacies, and the transfer must be completed directly between the pharmacies following the regulated narcotic-transfer process (signed and dated written order, Rx, due diligence). Every post and request requires a self-classification acknowledgment; pharmacies posting controlled substances as listings may be suspendedand reported. Counterfeit, recalled, tampered, mislabeled, or improperly stored products remain fully prohibited.

5. Verification

Pharmacy verification confirms that the accreditation number and pharmacist-in-charge licence presented at registration appear active at the time of review. Verification is not an endorsement, certification, audit, or warranty of any Member, their inventory, their storage practices, or their conduct.

6. No warranties

THE PLATFORM, LISTINGS, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, PRODUCT QUALITY, EXPIRY, STORAGE INTEGRITY, OR REGULATORY COMPLIANCE. We do not verify the identity of staff acting on a Member's behalf, the genuineness of any product, or the outcome of any transaction.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, inventry.ca, its operators, directors, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, inventory, patient harm, regulatory penalty, or business interruption arising out of or in connection with:

  • any listing, request, offer, message, or transaction between Members;
  • the quality, expiry, lot number, storage, packaging, shipment, or regulatory status of any product;
  • any act or omission of any Member, courier, payment provider, or third party;
  • any error, downtime, security incident, or content shown on the Platform.

For any claim that is nonetheless found valid, our aggregate liability shall not exceed CAD $100 or the fees you paid to inventry.ca in the 12 months preceding the claim, whichever is greater. While the Platform is free, the CAD $100 cap applies.

8a. Privacy and pharmacy data

To verify Members we collect pharmacy name, accreditation number, pharmacist-in-charge licence number, business address, business phone, fax, and a business email. Pharmacy licence documents are stored privately and used only for verification — they are never shared with other Members. Public marketplace listings show only pharmacy name, city, province, and rating. Counterparty contact details (manager name, licence number, accreditation number, full address) are revealed only after both pharmacies have entered an active transaction or conversation. We do not sell Member data. Members may request export or deletion of their account by contacting support.

8. Indemnification

You agree to defend, indemnify, and hold harmless inventry.ca from and against any claim, demand, regulatory action, loss, liability, damage, or expense (including reasonable legal fees) arising out of your listings, your transactions, your use of the Platform, or your breach of these Terms or applicable law.

9. Disputes between Members

All disputes regarding price, quantity, condition, expiry, lot, shipping, refund, or return must first be raised directly with the other pharmacy. inventry.ca may, at its sole discretion, provide a mediation tool to help Members communicate, but we are not an arbitrator, insurer, or guarantor of any outcome.

10. Account suspension

We may suspend, restrict, or terminate any account at any time, with or without notice, for any conduct we reasonably believe violates these Terms, harms other Members, or exposes the Platform to legal or regulatory risk.

11. Changes

We may update these Terms at any time. Continued use of the Platform after an update constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Courts located in Toronto, Ontario have exclusive jurisdiction.

13. Contact

For account, verification, or platform issues, use the in-app help. For all product, transaction, expiry, lot, or shipping matters, contact the other pharmacy directly — they are the responsible party.
